Promovision Terms of Service

These Terms of Service (the 'Terms') govern access to and use of the Promovision platform — the web application, public booking and invoice pages, business directory, and related services (collectively, the 'Service'). By creating an account or using the Service, you agree to these Terms. The French version of these Terms is equally authoritative.

1. The Service

Promovision is a business-management platform for service businesses: customer relationship management, quotes and invoicing, scheduling and online booking, marketing tools (email and SMS campaigns), an AI telephone receptionist, a public business directory, and related features. Features may be added, changed, or retired; we will give reasonable notice of changes that materially reduce functionality you pay for.

2. Accounts and eligibility

You must be at least 18 and using the Service on behalf of a business. You are responsible for your credentials, for all activity under your account, and for the accuracy of the information you provide. Team-member accounts act under the authority of the business (the 'Tenant') that invited them; the Tenant is responsible for its team members' use.

3. Your customers' data — roles and responsibilities

The Tenant's customer records (contacts, appointments, quotes, invoices, messages, call recordings) belong to the Tenant. For that data, the Tenant is responsible for compliance with privacy law as the party who collects it, and Promovision acts as a service provider processing it on the Tenant's instructions, as described in our Privacy Policy. Promovision applies the security and confidentiality measures described there, uses that data only to provide the Service, and does not sell it. The Tenant is responsible for having the right to put personal information into the Service (including obtaining any consent required from its own customers).

4. Fees, pay-as-you-go billing, and prepaid credits

  • Payment method. Certain features require a valid payment method on file (processed by Stripe; we do not store card numbers).
  • Usage-based fees. Metered features are billed at the rates displayed in the Service at the time of use (currently, for example: AI receptionist voice minutes, SMS segments, marketing emails, and AI credits). Rates are shown before you enable each feature and in Settings → Billing. All amounts are in Canadian dollars unless indicated otherwise, plus applicable taxes.
  • Prepaid credit buckets. You may prepay discounted credit buckets. Credits are consumed before metered billing applies.
  • Rate changes. We may change usage rates with at least 30 days' notice by email or in-app notice; continued use of a metered feature after the effective date constitutes acceptance.
  • Refunds. Unused prepaid credits from a bucket purchase are refundable on request, prorated to unused units, to the original payment method. Metered usage already consumed is not refundable. Statutory rights are unaffected.
  • Failed payments. If a payment fails, we may suspend the affected paid features after notice until payment is settled.

5. Public pages, booking, and messaging on your behalf

The Service publishes pages at your direction (public quotes, invoices, booking pages, directory listings, business sites) and sends communications on your behalf (booking confirmations, invoices, campaigns). You are responsible for the content you publish and the messages you cause to be sent, including compliance with Canada's Anti-Spam Legislation (CASL) for commercial electronic messages: you must have consent for your recipient lists, and you must not remove or circumvent the unsubscribe mechanisms the Service includes.

6. AI features

The Service includes AI-powered features (the AI receptionist, and AI generation of text and images). AI output may be inaccurate; you are responsible for reviewing AI-generated content before relying on it or publishing it. If you enable the AI receptionist, you are responsible for any notice to callers that your jurisdiction requires regarding automated agents and call recording; the Service records receptionist calls and stores recordings and transcripts in your account.

7. Acceptable use

Use of the Service is subject to the Acceptable Use Policy, which forms part of these Terms.

8. Directory

Listing in the Promovision business directory is optional and subject to the Directory Terms, which form part of these Terms. We may review, approve, decline, or remove listings as described there.

9. Intellectual property

We retain all rights in the Service. You retain all rights in your data and content. You grant us the licence needed to host, display, and transmit your content solely to operate the Service (for example, showing your business profile on your public pages and, if you opt in, in the directory).

10. Term, suspension, and termination

You may stop using the Service and request account deletion at any time (Settings → confirmation by email link). Deletion takes effect after a 30-day grace period, after which your organization's data is permanently deleted, subject to records we must keep by law (for example, billing records). You may export your data before deletion using the built-in export. We may suspend or terminate accounts that materially breach these Terms, with notice where practicable.

11. Third-party services

The Service relies on third-party providers (including Stripe for payments, Twilio for telephony and SMS, Resend for email delivery, ElevenLabs for the AI receptionist, Google Maps for address services, Anthropic and OpenAI for AI generation). Their availability affects the Service; where a third party processes personal information for us, the Privacy Policy applies.

12. Financing referrals

Where the Service displays consumer-financing options from third-party lenders, Promovision is not a lender, broker, or advisor, does not decide approvals, and is not a party to any resulting financing agreement. Promovision may receive compensation from lenders for referrals. Financing terms are solely between the applicant and the lender.

13. Warranties and liability

The Service is provided 'as is' and 'as available'. To the maximum extent permitted by applicable law: we do not warrant uninterrupted or error-free operation; we are not liable for indirect or consequential damages, loss of profits, or loss of data (beyond restoration from our backups); and our total aggregate liability for all claims in any 12-month period is limited to the fees you paid us in the 12 months preceding the first claim. Nothing in these Terms excludes liability that cannot be excluded under the laws of Québec.

14. Changes to these Terms

We may update these Terms. Material changes will be notified by email or in-app at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

15. Governing law

These Terms are governed by the laws of Québec and the federal laws of Canada applicable therein. Disputes are subject to the courts of Québec, district of the registered office of Promovision Technologies inc.
